Fento Industry provides manufacturing services exclusively for B2B customers. We do not engage in retail business or direct consumer sales. All services are provided to qualified business entities only.
1. Acceptance of Terms
By accessing and using the Fento Industry website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the "Client" or "Customer") and Fento Industry ("Company," "we," "us," or "our").
If you do not agree to these terms, you must not use our services or website.
2. Service Description and Limitations
2.1 Manufacturing Services
Fento Industry specializes in OEM/ODM manufacturing of wooden and resin components including but not limited to:
- Laminated wood blocks and colored layered wood blanks
- Bow risers and wooden slingshots with metal heads
- Custom grips, handles, and knife handles
- Resin acrylic panels and engraved wooden accessories
- Custom items made from laminated wood or resin materials
2.2 Service Limitations
Important: Our services are provided "as-is" and are subject to material properties, manufacturing tolerances, and technical limitations inherent to wood and resin processing. We cannot guarantee absolute dimensional accuracy or material consistency beyond industry standards.
3. Liability Disclaimers and Risk Allocation
3.1 Limited Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FENTO INDUSTRY'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC ORDER IN QUESTION.
3.2 Disclaimer of Warranties
We provide our services on an "AS-IS" and "AS-AVAILABLE" basis. We expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement of third-party rights
- Continuous, uninterrupted, or secure access to our services
3.3 Material and Product Risks
Client acknowledges and assumes the following risks:
- Material Variability: Natural wood and resin materials may exhibit variations in color, grain, and properties
- Environmental Factors: Products may be affected by humidity, temperature, and other environmental conditions
- Manufacturing Tolerances: All products are subject to standard manufacturing tolerances
- End-Use Suitability: Client is responsible for determining product suitability for intended applications
4. Client Responsibilities and Risk Control
4.1 Specification Accuracy
Client is solely responsible for providing accurate, complete, and technically feasible product specifications. Any errors or omissions in client-provided specifications may result in production delays, additional costs, or products that do not meet client expectations.
4.2 Approval and Sign-Off
Client must provide written approval for all specifications, samples, and production prototypes before mass production begins. Once production approval is given, changes may not be possible and additional costs may apply.
4.3 Compliance and Regulations
Client is responsible for ensuring that all products comply with applicable laws, regulations, and safety standards in their target markets. Fento Industry does not provide regulatory compliance consulting or certification services.
5. Intellectual Property and Confidentiality
5.1 Client IP Protection
We respect client intellectual property rights and will not disclose confidential design information to third parties without written consent. However, we cannot guarantee absolute confidentiality in a manufacturing environment.
5.2 IP Infringement Disclaimer
Fento Industry assumes no responsibility for intellectual property infringement claims arising from client-provided designs or specifications. Client warrants that they have the right to manufacture the requested products.
6. Payment Terms and Financial Risk
6.1 Payment Obligations
Payment terms are specified in individual purchase orders or contracts. Late payments may result in production delays, storage fees, or order cancellation at our discretion.
6.2 Price Changes and Additional Costs
Prices are subject to change based on material costs, specification changes, or unforeseen production requirements. Additional costs for design changes, expedited delivery, or special requirements will be charged separately.
7. Force Majeure and Production Risks
We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, pandemics, or government actions
- Material supply shortages or quality issues
- Equipment failures or technical difficulties
- Labor disputes or transportation disruptions
8. Dispute Resolution and Governing Law
8.1 Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.
8.2 Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
9. Termination and Survival
Either party may terminate ongoing services with reasonable notice. Provisions relating to liability limitations, intellectual property, and dispute resolution shall survive termination of these terms.
